[Remote] Legal & Governance Chair (Volunteer)
Note: The job is a remote job and is open to candidates in USA. Guideship is a nonprofit workforce development organization dedicated to creating career pathways for underserved communities. They are seeking a Legal & Governance Chair to provide leadership regarding nonprofit governance, organizational compliance, ethics, risk management, and board effectiveness.
Responsibilities
- Review and recommend updates to bylaws, policies, and governance practices
- Support board recruitment, orientation, and succession planning
- Monitor compliance with nonprofit laws and regulations
- Review conflict-of-interest disclosures and governance matters
- Coordinate with outside legal counsel when needed
- Serve on the Founder Legacy Committee
- Support organizational risk management and policy development
Skills
- Leadership regarding nonprofit governance, organizational compliance, ethics, risk management, and board effectiveness
- Ensuring that Guideship operates in accordance with applicable laws, its governing documents, and nonprofit best practices
- Review and recommend updates to bylaws, policies, and governance practices
- Support board recruitment, orientation, and succession planning
- Monitor compliance with nonprofit laws and regulations
- Review conflict-of-interest disclosures and governance matters
- Coordinate with outside legal counsel when needed
- Serve on the Founder Legacy Committee
- Support organizational risk management and policy development
- Attorney, compliance professional, nonprofit executive, governance consultant, corporate secretary, or similar professional experience
- Knowledge of nonprofit governance and board operations
- Experience serving on nonprofit boards preferred
- Commitment to ethical leadership and mission stewardship
