• Advise on Fund Formation & Venture Capital Transactions:

Represent sponsors in the formation and structuring of venture capital funds, and advise emerging companies and investors on equity financings, including seed, Series A–C, and growth-stage investments.

• Draft, Review, and Negotiate Fund & Investment Documents:

Including limited partnership agreements, subscription agreements, side letters, term sheets, stock purchase agreements, and investor rights agreements.

• Conduct Due Diligence and Support Investment Execution:

Assist with structuring, negotiating, and closing fund formations and venture capital transactions, including review of corporate, financial, and capitalization materials.

• Ensure Regulatory and Compliance Alignment:

Advise clients on compliance with applicable securities laws, including the Investment Company Act, Investment Advisers Act, and other regulatory frameworks impacting funds and emerging companies. The Requirements ✅

• 3+ Years Experience
• Corporate Law Experience

The Package 💰

• Up to $275K Base + Sign on Bonus
• Monthly Performance Related Bonus + End of Year Bonus
• 5-10% of all Matters you work on
